A partir do Plano Real as instituições financeiras atuantes nomercado brasileiro passaram por um grande processo deajustes. Com isto houve uma redução significante dosnúmeros de players e diversos bancos foram liquidados outransferiram o seu controle acionário através dos processosde fusões e aquisições. Esta mudança provocada no cenáriocompetitivo teve como aliados o desenvolvimentotecnológico e ambiente regulatório. O presente artigo analisao impacto das fusões e aquisições nos retornos realizadas noâmbito dos bancos brasileiros privados adquirentes decontrole nacional e estrangeiro. Especificamente, este trabalhoinvestigou o impacto que estes processos causaram noRetorno sobre o Patrimônio Líquido (ROE) e no Retornosobre os Ativos (ROA) dos bancos adquirentes. Ametodologia aplicada neste trabalho foi uma pesquisaempírico-analítica e a base de dados utilizada foi o rankingdos 50 maiores bancos por ativo do Brasil, publicada peloBACEN, no período compreendido entre 2000 e 2004. Aamostra considerada neste trabalho inclui apenas os bancosque possuíam dados em todos os anos pesquisados. Osresultados evidenciam que os processos de fusão e aquisiçãonão impactaram nos retornos dos bancos adquirentes, tantoem relação aos ativos quanto ao patrimônio líquido (ROA eROE, respectivamente). A Teoria Neoclássica daMaximização dos Lucros da Firma, que explica que osprocessos de fusão e aquisição são motivados pelamaximização dos retornos dos bancos adquirentes, não foiconfirmada neste estudo.

In the years subsequent to the implementation and consolidation ofPlano Real, the financial institutions operating in the Brazilianmarket underwent a substantial process of adjustments. As a result,there was a significant reduction in the number of playersand severalbanks either liquidated or transferred their stock control throughprocesses of mergers and acquisitions (M&A). This change, whichwas caused by a competitive scenario, had both technologicaldevelopment and regulatory environment as its allies. This paperanalyzes the impact of the M&A in the returns undertaken in thesphere of the private Brazilian banks that have acquired national andforeign control. Specifically, this work investigates the impact theseprocesses caused on the Return on Equity (ROE) and in the Returnon the Assets (ROA) of the acquiring banks. The methodologyapplied to this work involved an empirical and analytical research andthe database used ranked the 50 largest banks by assets in Brazil aspublished by BACEN in the period between 2000 and 2004. Thesample considered in this work only includes the banks that possesseddata in all of the researched years. The results evidence that M&Aprocesses had no impact on the acquiring banks ‘ returns with regardto both assets and equity (ROA and ROE, respectively). TheNeoclassical Theory of the Maximization of the Profits of theFirm, which establishes that M&A processes are motivated by themaximization of the acquiring banks’ returns, was not confirmed inthis study
